Terms of Service

These terms are an agreement between you and Riley & Grey Inc., a Delaware corporation, doing business as Condux (“Condux”, “we”, “us”). They govern your use of the Condux website and service. By creating a workspace or using the service you agree to them. If you are using Condux on behalf of a company, you represent that you have authority to bind that company, and “you” means the company.
Condux is in beta. We are shipping quickly, some things will break, and we may change or remove features. These terms are written with that in mind.
1. What Condux does
Condux runs coding agents on your repositories. You delegate an issue from Linear or a request from Slack or a pull request; Condux prepares a temporary environment, runs an agent using a model provider you connect, and opens or updates a pull request for you to review. By default a person on your team decides whether to merge it. You can turn on auto-merge per codebase, in which case Condux merges a pull request once your CI passes and Condux’s own review approves it.
2. Your account
You sign in with GitHub and must be at least 18. You are responsible for everything done through your workspace, including by other members you add, and for keeping your GitHub account secure. Tell us at hello@condux.build if you believe your account has been compromised.
3. Your content and connections
Your code, issues, secrets, prompts, and the pull requests Condux produces are yours. You grant us only the rights needed to provide the service: to clone your repositories, read the issues and messages you direct to Condux, send them to the model provider you have connected, store transcripts and logs so you can review the work, and write branches and pull requests to your repositories.
We do not use your content to train models and do not allow our providers to do so on our behalf. Requests to your model provider are made under your own provider account and are governed by that provider’s terms, including any training or retention settings you control there.
You are responsible for the connections you authorize. Only connect repositories, Linear workspaces, Slack workspaces, and provider accounts that you have the right to connect, and only store secrets you are entitled to use.
4. Reviewing agent output
Condux produces proposed changes, not merged code. Agents make mistakes: they can introduce bugs, security issues, license problems, or changes that don’t do what the issue asked. You are responsible for reviewing, testing, and approving every pull request before merging it, and for what happens in your systems after you do. If you turn on auto-merge for a codebase, you are choosing to let Condux merge on the strength of your CI and its own review, and you accept the results as if you had merged them yourself; make sure your CI and branch protections are good enough to justify that. The same applies to any preview deployment, script, or command an agent runs against infrastructure you have given it access to through your codebase configuration and secrets.
5. Acceptable use
Don’t use Condux to:
- work on code, data, or systems you don’t have the right to access or modify;
- produce malware, attack tools, or anything intended to harm others’ systems;
- attempt to break out of the temporary environment, access other customers’ data, or probe or overload the service;
- violate the terms of GitHub, Linear, Slack, or your model provider;
- evade usage limits, for example by creating multiple workspaces to collect free hours;
- break the law.
We may suspend a workspace that we reasonably believe is doing any of these, and will tell you why when we can.
6. Plans, usage, and payment
Usage is measured in run hours: the time a temporary environment is live for a run on your codebase, rounded to the second and summed per billing cycle. Every workspace gets five free run hours with no card required. After that you need a plan.

- The monthly fee is charged in advance at the start of each billing cycle, which runs from the day you subscribe. Additional hours beyond the included amount are metered and charged on the next invoice.
- Included hours do not roll over.
- When a workspace has used its free hours and has no active plan, or a plan’s concurrency or codebase limit is reached, new runs are declined with a message explaining why. A run already in progress is never stopped for billing reasons.
- You can switch between Starter and Team at any time. The change takes effect immediately and the difference is prorated on the next invoice.
- Payment is processed by Stripe. If a payment fails we will retry and notify you; if it keeps failing we may suspend new runs until it is resolved.
- Prices exclude any applicable taxes, which you are responsible for.
- We may change prices with at least thirty days’ notice by email to workspace administrators. A change takes effect at your next billing cycle after the notice period.
7. Cancellation and refunds
You can cancel your plan at any time from the Billing page. Cancellation takes effect at the end of the current billing cycle; you keep your included hours until then and are billed for any additional hours used. We do not give refunds for partial cycles or unused hours, though we may issue a refund or credit at our discretion, particularly during beta. To close your account entirely, email hello@condux.build.
8. Our commitments and their limits
We will provide the service with reasonable skill and care and handle your information as described in our Privacy Policy. Beyond that, Condux is provided “as is” and “as available”, without warranties of any kind, express or implied, including fitness for a particular purpose, non-infringement, and that the service or agent output will be uninterrupted, error-free, or secure. We do not offer an uptime guarantee during beta.
Agent output depends on third-party models and services we don’t control. We are not responsible for the content or quality of model responses, for outages or changes at GitHub, Linear, Slack, Daytona, Cloudflare, or your model provider, or for charges those providers bill you directly.
9. Limitation of liability
To the fullest extent permitted by law, neither Condux nor Riley & Grey Inc. will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to these terms or the service, even if advised of the possibility. Our total liability for all claims arising out of or related to the service is limited to the amount you paid us in the twelve months before the claim arose, or $100 if you have paid nothing. These limits apply regardless of the legal theory and are a fundamental part of the bargain between us.
Some jurisdictions do not allow certain limitations; in those, our liability is limited to the greatest extent the law permits.
10. Indemnity
You will defend and indemnify Condux and Riley & Grey Inc. against third-party claims arising from your content, your connections, your use of agent output, or your breach of these terms.
11. Termination
You can stop using Condux at any time; see section 7 for closing your account. We may suspend or terminate your access if you materially breach these terms, if required by law, or if we discontinue the service, in which case we will give you at least thirty days’ notice where practical and refund any prepaid fees for the period after termination. Sections 3, 4, 8, 9, 10, 13, and 14 survive termination.
12. Changes to the service and these terms
We may change the service at any time. We may change these terms by posting the updated version here and updating the effective date; for material changes we will email workspace administrators at least fourteen days before they take effect. Continuing to use Condux after that date means you accept the new terms. If you don’t, cancel before they take effect.
13. Governing law and disputes
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these terms or the service will be brought exclusively in the state or federal courts located in Delaware, and both of us consent to their jurisdiction. Before filing, either party will give the other written notice and thirty days to try to resolve the matter informally.
14. General
- These terms, with the Privacy Policy, are the entire agreement between us about the service and replace any earlier discussions.
- You may not assign these terms without our consent. We may assign them to an affiliate or a successor in a merger, acquisition, or sale of the business.
- If any part of these terms is unenforceable, the rest remains in effect.
- Our not enforcing a provision is not a waiver of it.
- Neither party is liable for delays caused by events beyond its reasonable control.
